Terms and Conditions

These Terms and Conditions govern your purchase of products and or services (collectively “Services”) provided by 17C Pte Ltd. By accessing or using the Services, you agree that you have read, understood, and agree to be bound by these Terms and Conditions and consent to the collection, use, and disclosure of your information for the purposes of providing the Services to you, whether or not you are a registered Member of our Services, and in accordance with our Privacy Policy. These Terms and Conditions apply to all visitors, Members, and others who access or use the Services (“Member(s)”).

PLEASE READ THIS AGREEMENT CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION.

1. Use of the Services

1.1 Membership Account

To become a Member, you are required to provide current information about yourself and information must be accurate, truthful and complete. You agree that you shall be solely responsible for all consequences of providing any inaccurate, incomplete and/or insufficient information in the creation and use of your account. If the management determine or have reason to believe that the information you have provided is not current, accurate, or complete in any way or that you have provided false or misleading information, the management reserve the right to either suspend or terminate your Membership.

You are solely responsible for the use of your account and may not use another Member’s account without authorization. You must notify the management immediately of any breach of security or unauthorized use of your account. The management will not be liable for any loss caused by any unauthorized use of your account or breach of security.

Activation of any Membership Account shall take place on the next working day after application/registration. The management reserves the full discretion to reject any Membership application, as well as to suspend or terminate any Membership Account.

You may cancel your Membership Account at any time by notifying us via email at marketing@17tea.co. We will respond to any such request within ten (10) business days of receipt and in the event such withdrawal renders us unable to continue to provide our Services to you, require a further confirmation before processing such request and cancellation will take immediate effect upon confirmation on receipt of withdrawal. Upon successful withdrawal of consent, the Member Account, unused redeemable points, rewards, benefits, privileges and any other form of entitlement under the membership programme shall be revoked immediately and 17C Pte Ltd shall be discharged from any further obligations to the Member.

All Membership-related information shall be communicated via e-mail/SMS.

1.2 Membership Points & Redemption

Upon successful sign up of the Membership Account, you will be eligible to receive a complimentary cup (360ml) of Jade Green Tea with Mochi Pearls. Eligible member(s) will also be entitled to receive one (1) large-sized drink with any choice of toppings during your registered birthday month. Exchange of complimentary drinks is subjected to availability and is non-exchangeable and non-transferable.

Points may be accumulated on your Member Account (“Membership Points”) at the rate of S$1 to 1 Point based on your transactions in a single receipt. Accumulated Membership Points are valid for 12 months from the date of issuance. Any points earned that are not utilized within the validity period will expire. The management shall not be responsible to the Member for any unutilized points.

Membership Points redemption is only applicable with every 50 Membership Points accumulated, and each redemption is eligible for a medium-sized drink (without toppings) only. Any additional toppings will be charged accordingly.

Member Account and Membership Points are strictly non-exchangeable and non-transferable. Sharing of Membership Points with other Member(s) is not allowed, and Membership Points cannot be exchanged for cash, redeemed or accumulated in conjunction with other promotions, discounts and/or vouchers.

The management reserves the right to change the membership program mechanics, promotions and terms and conditions at any time without prior notice. The management shall have the sole discretion to deduct, cancel or reject/refuse to award Membership Points for any purchases which is doubtful or not genuine or wrongfully accorded. The management’s decisions made on any Membership Points-related dispute/issue shall be conclusive and final, and Members agree to abide and be bound by the same.

Upon cancellation or termination of your Member Account, all unredeemed Membership Points will immediately be invalidated.

2. Service Availability and Our Right to Terminate

The management may, without prior notice, change the Services; stop providing the Services or features of the Services, to you or to Members generally; or create usage limits for the Service. The management may permanently or temporarily terminate or suspend your access to the Service without notice and liability for any reason, including if in our sole determination you violate any provision of this Agreement, or for no reason. Upon termination or suspension of access, you continue to be bound by this Agreement. The management reserves the right, but have no obligation, to monitor disputes between you and other Members. The Company shall have no liability for your interactions with other Members, or for any Member’s action or inaction.

3. Security

The management cares about the integrity and security of your personal information. However, the management cannot guarantee the security of your personal information, and by signing up as a Member, you acknowledge and agree that you provide your personal information at your own risk.

4. Third-Party Links

The Services may contain links to third-party websites not owned or controlled by 17C Pte Ltd and the management do not endorse or assume any responsibility for any such third-party sites. If you or Members in general, access a third-party service from the Services, you acknowledge and agree that you do so at your own risk, and you understand that these Terms and Conditions does not apply to your use of such service, and you expressly relieve the management from any and all liability arising from your use of any third-party service or content.

5. Indemnity

You agree to defend, indemnify and hold the management harmless and our subsidiaries, agents, licensors, managers, and other affiliated companies, and our employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to legal fees) arising from:

your use of and access to the Services, including any data or content transmitted or received by you;
your violation of any provision of these Terms and Conditions and Privacy Policy, including without limitation your breach of any of the representations and warranties herein;
your violation of any third-party right, including without limitation any right of privacy or intellectual property rights;
your violation of any applicable law, rule or regulation;
any claim or damages that arise as a result of any of your Member Content or any Member Content or other information that is submitted via your Member Account; or
any other party’s access and use of the Services via your unique Member name, password or other appropriate security code.

6. No Warranty

Use of the Services is at your own risk to the maximum extent permitted by applicable law. The Services is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, privacy, security, accuracy, timeliness, quality, or non-infringement. Any content downloaded or otherwise obtained through the use of the Services, is downloaded at your own risk and you will be solely responsible for any damage to your computer system or mobile device or loss of data that results from such download or your use of the services.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall 17C Pte Ltd, our affiliates, agents, directors, employees, suppliers or licensors be liable for any direct, indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data or other intangible losses, that result from the use of, or inability to use, or unauthorized use of these Services.

8. Discretion

Notwithstanding and without prejudice to these terms, the management is entitled at any time in our absolute discretion, and without liability to you, without notice and without giving any reason, to:

A. suspend or terminate your Membership entirely whether or not you are in default of these terms; and/or

B. refuse to allow you to participate in the Membership Programme; and/or

C. introduce, amend, restrict, suspend or terminate all or any of the benefits, services, facilities and privileges in respect of or in connection with your membership

9. General

9.1 Assignment
This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by 17C Pte Ltd without restriction. Any attempted transfer or assignment by you in violation hereof shall be null and void.

9.2 Amendments
The management may, in our sole discretion, modify or update these Terms and Conditions and Privacy Policy from time to time, such change to be binding immediately. Your continued use of the Service after any such change constitutes your acceptance of the new Terms and Conditions and Privacy Policy.

9.3 Entire Agreement/Severability
These Terms and Conditions as well as Privacy Policy and their amendments constitute the entire Terms and Conditions and Privacy Policy between you and the management concerning the Services. If any provision is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions and Privacy Policy, which shall remain in full force and effect.

9.4 No Waiver
No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

9.5 Rights of Third Parties
A person who is not a party to these Terms and Conditions shall have no right under the Contracts (Rights of Third Parties) Act (Cap. 53B) of the Republic of Singapore to enforce or to enjoy the benefit of any terms of the same.

10. Governing Law and Arbitration

These Terms and Conditions shall be governed by the laws of the Republic of Singapore.
Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed to be incorporated by reference in this clause.

The seat of the arbitration shall be Singapore. The Tribunal shall consist of 1 arbitrator. The language of the arbitration shall be English.
